Order of Goods: All orders placed by the Buyer must be in writing and are subject to acceptance by Online Metals India. We reserve the right to accept or refuse any order without explanation. Invoices will be raised based on orders and supplied goods.
Prices: Prices quoted on the website or in quotations are approximate and subject to availability of goods. Final prices will be confirmed based on Buyer requirements and may be revised without prior notice. Prices exclude packing, forwarding, loading, transport charges, and applicable taxes.
Payment Terms: Full payment must be made in advance via crossed Cheques, Bank Drafts, RTGS, or NEFT to Online Metals India. No suspension or adjustment of payments is allowed without written approval.
Examination of Invoice: Buyers must check invoices for accuracy upon receipt and notify the Seller immediately of any discrepancies.
Intimation of Short Receipt or Damage: The weight or quantity recorded on dispatch documents governs invoicing and payment. Buyers must notify us in writing of any shortages or damage at the time of receipt.
Applicable Taxes: All taxes, cess, or duties levied by government authorities are extra and payable by the Buyer.
Quality of Goods: Goods supplied shall conform to prescribed specifications and standards.Claims related to transit shortage or damage must be supported by an acknowledged Shortage/Damage Certificate issued by the carrier.
Return of Goods: Goods once sold cannot be returned. Transit insurance and liability will be decided on a case-by-case basis. Returns require prior written consent and goods must be in resaleable condition. Special/custom orders are non-returnable.
Delivery: Goods will be delivered to the address provided by the Buyer. Address changes must be communicated immediately. Delivery will be made only after full advance payment is received.
Inspection Upon Delivery: Buyers must inspect goods immediately upon delivery and report any defects or shortages within 48 hours. Claims made after this period will not be entertained.
Delay in Delivery: Delivery dates are estimates and subject to delays beyond our control, including strikes, government orders, or supplier issues. We shall not be liable for such delays but will strive to deliver promptly.
Unauthorized Acceptance: Any goods accepted by unauthorized persons will be considered unauthorized acceptance and may result in prosecution.
Lien on Goods: The Seller retains a lien on all goods supplied until full payment is received from the Buyer.
Default in Payment: Any delay in payment will attract overdue interest at 24% per annum or the prevailing legal rate until payment is received in full.
Appropriation of Payments: Any payments made will first be applied to outstanding dues, and any discounts or sums due to the Buyer may be adjusted against pending payments.
Warranty: Goods are warranted to meet quality standards as specified. Claims must be made in writing within 8 days of receipt. Warranty covers repair, replacement, or refund at Seller’s discretion. No liability for consequential or incidental damages.
Order Cancellation: Cancellation, modification, or termination of orders after acceptance requires prior written approval and may be subject to charges for expenses already incurred.
Force Majeure: We shall not be liable for failure or delay in delivery due to causes beyond our reasonable control, including natural disasters, strikes, pandemics, government restrictions, or supplier failures.
Limitation of Liability: Our liability is limited strictly to the value of the goods supplied. We disclaim all liability for indirect, consequential, or incidental damages.
Confidentiality: All information exchanged between Buyer and Seller shall be confidential and not disclosed to third parties without consent.
Governing Law and Jurisdiction: These terms shall be governed by the laws of India, with the exclusive jurisdiction of courts located in Mumbai, Maharashtra.
Severability and Entire Agreement: If any provision here is held invalid, all other provisions remain in effect. These Terms and Conditions constitute the entire agreement superseding all prior agreements and understandings.
